• Late payments may incur fees or suspension of services.
• Fees do not include third-party costs (ad spend, software licenses, hosting) unless explicitly stated.

4. Refunds

• Generally, services rendered or work started are non-refundable.

5. Intellectual Property

• Egnismedia LLC retains ownership of pre-existing IP (tools, templates, AI prompts, code frameworks).
• Clients receive a license or ownership of deliverables once payment is completed, as outlined in contracts.
• Clients may not redistribute, sell, or misuse agency-developed IP.

6. Confidentiality

• Both parties agree to keep confidential any proprietary information shared during the project.
• This includes strategy, business data, and trade secrets.

7. Limitation of Liability

• Egnismedia LLC is not liable for indirect, incidental, or consequential damages arising from the use of our services.
• Maximum liability is limited to the amount paid for services under the contract.

8. Termination

• Either party may terminate services with written notice.
• Upon termination, any outstanding fees for completed work remain payable.

9. Governing Law

These Terms are governed by the laws of United States.

Any disputes shall be resolved in the courts of United States.

10. Changes to Terms

Egnismedia LLC may update these Terms periodically. Changes take effect upon posting on our website.
